Chapter 7 - Proxy Agreement

所有由三叔亲自负责的"家营清算组"都被接管了.刘夫人被限制在内院.沈仲康虽然没有受到惩罚,但他却成了名义上的"长子",整天在府邸里无所事事,看起来无精打采.

沈若欣正式加入清算组,每天都和会计刘一起埋在堆积如山的账簿里.她越深入,就越感到警觉.锦绣阁的损失,远比她最初估计的要大.堆积如山的旧库存占据了仓库近 70% 的面积,其中许多已经发霉,虫蛀,只能丢弃.此外,他们不仅欠供应商钱,而且还以丝绸和缎子店的名义借了几笔高息贷款.随着利息复利的增加,金额已经变成了天文数字.

这绝不是一个简单的管理不善的例子;这是一场系统性的,近乎疯狂的资产转移和债务积累!

"小姐,根据我们目前还清的债务和需要处理的陈旧库存,就算我们把动产店都卖掉了,恐怕也要卖掉...它可能仍然不足以填补这个坑!刘会计看着最新的汇总数字,眉头紧锁,声音颤抖.

沈若欣放下手中的毛笔,揉了揉她酸痛的太阳穴.她知道刘会计说的是实话.虽然清算队已经成立,她的三叔在监督,但大多数长老都年纪大了,精力有限.此外,他们不熟悉具体的业务细节.他们能做的更多的是减少损失和追究人们的责任,但他们无法想出真正有效的策略来挽救这种情况.每天的"清盘",更像是慢慢地为锦阁的葬礼做准备.

这不能再继续下去了!锦绣阁绝不能倒塌!这不仅是她爸爸努力的成果,也是沈家产业最重要的支柱.甚至是她未来生计的根本保障,也是对她母亲嫁妆的保护!

她必须获得真正的经营权,凭借前世的知识和经验,她将斩开戈尔迪之结,让这个死去的游戏重新焕发活力.

但目前的情况非常微妙.她是女性,还很年轻,所以她不可能直接掌权.虽然她的曾叔很看重她,但因为族规和舆论,最多只能让她"帮忙".而名义上的接班人,依然是她一无是处的哥哥,沈仲康.

如何打破僵局?

沈若欣的目光再次落在那张详细记录了损失和债务的摘要表上,一个大胆的想法逐渐形成.

那天晚上,她寻求与她的叔叔见面.

在书房里,灯光很亮.三叔看着自己的侄孙女,她比以前瘦了,但眼神却更加锐利.他对自己叹了口气.

"若欣,这么晚了.你在和解时遇到了什么困难?

沈若欣鞠了一躬,没有直接回答.相反,她反问道:"三叔,鉴于锦阁的现状,清算团队中的叔叔们有什么好的策略可以让它起死回生吗?

三叔沉默了很久.最后,他缓缓摇头说道:"好难!这些问题随着时间的推移而积累,很难逆转.能让沈家不被债务压垮,已经是一大福气了.

"那大哥呢?"沈若心继续说."毕竟,他是合法的继承人.但...他能肩负起这个沉重的责任吗?

三叔的眉头拧得更紧了,最后,他长叹了一口气:"中康...唉,如果他有你一半的智慧和责任,我就不会那么担心了.

"既然如此,"沈若心深吸一口气,说出了心中酝酿已久的想法,"三叔,你侄女有个无理的要求.也许...这是拯救锦绣阁,也是此刻维护我哥哥和沈家尊严的唯一办法.

"哦?告诉我你有什么要说的,"三爷爷说,眼中闪过一丝好奇.

"外甥女恳切地要求与大哥签订'代理持有协议',"沈若心惊讶地说道.

"代理持有协议?"三公叔显然是第一次听到这个词.

"是的,"沈若欣解释道."锦绣阁的名字还是属于我哥哥的.但实际的管理和运营权由我的侄孙女持有.所有业务决策,包括人事,采购,销售和财务交易,均由我负责.相应地,我也独自承担了所有的商业风险.

看着三叔惊讶的表情,她继续道:"作为回报,如果锦绣阁将来能扭亏为盈,我会自愿将每年净利润的十分之一贡献给老大哥,作为他应得的'主人'收入.其余的利润必须用于偿还债务,弥补赤字,以及用于丝绸店的日常运营和未来发展.

"咦...?"三爷爷被这个闻所未闻的提议惊呆了."你替我管,自己冒这个险,还把十分之一的利润给你哥哥?你想要什么?

我侄女的孙女不追求名利.沈若欣的目光是真诚的."她只希望给锦绣阁一个真正的机会,卷土重来,活下来.她还希望给我哥哥一条出路,这样他就不会完全被当作沈家的罪人.最重要的是...她想保住我们爸爸留下的家业,维护我们沈家赖以生存的基础!

她停顿了片刻,语气变得更加严肃:"三叔,以目前的情况,如果我们一步一步地清算,可能的结果是卖掉我们所有的资产,勉强还清债务.锦绣阁将不复存在.老大哥也会背负着流浪汉的耻辱,一辈子都无法昂首挺胸.但如果我接手行动并全力以赴,可能还有一线希望!便...即使我们最终失败了,损失的风险也将由我一个人承担.至少不会让沈家背负更多的债务.

These words not only pointed out the pros and cons but also demonstrated responsibility, and even subtly touched upon the deepest concern of Uncle San - the family's reputation and the future of the descendants. 

Uncle San was silent, his fingers tapping the table unconsciously. He was weighing his options. Shen Ruoxin's proposal broke the norm, and could even be described as heretical. To let an unmarried girl manage the family's core business independently? This was simply unimaginable in the Shen family, which valued rules and regulations. 

On the other hand, the current situation of Jinxiu Pavilion is truly precarious. Shen Zhongkang is unreliable, and the liquidation team can only manage to hold on. Shen Ruoxin's ability and determination shown during the liquidation process, he has all witnessed. Perhaps, this is truly the only way out? 

"This matter... is of great significance. I need to discuss it with several other elders and also... ask Zhongkang's opinion." Granduncle San did not immediately agree or refuse. 

Shen Ruoxin knew that this was already the best progress. She respectfully bowed and said, "Niece-granddaughter understands. It's just that time is pressing. The elders' opinions were not unanimous. Some were firmly opposed, arguing that women should not interfere in politics, which violated the ancestral rules, and that Shen Ruoxin was too young to take on such a heavy responsibility. However, others were more pragmatic, believing that it was better to try something than to do nothing. They thought that rather than waiting for bankruptcy, they should let Shen Ruoxin have a go. After all, the conditions she proposed seemed to offer no harm but potential benefits to the family and Shen Zhongkang. 

Shen Zhongkang's attitude was the most complicated. On the one hand, he hated Shen Ruoxin for stealing his limelight and making him lose face. On the other hand, he was well aware that he was powerless to change the situation. He had no intention of taking over the mess at Jinxiu Pavilion and didn't dare to either. The "proxy management" proposed by Shen Ruoxin, which allowed him to get a 10% share of the profits each year, seemed... not bad? At least he wouldn't have to take the risk and could still get some money. As for his reputation... compared to being labeled a wastrel, "having his sister manage it on his behalf" sounded better. 

Ultimately, after Uncle San's forceful persuasion and careful consideration, a compromise solution was proposed. 

At the family meeting reconvened, the venue was still that oppressive main hall. 

Uncle San Gong announced in public, "After much discussion with the elders of the clan and with Zhong Kang's consent, considering the current special circumstances of the Jinxiu Pavilion, in order to save the family business, a 'proxy agreement' is hereby established. Shen Ruoxin will act on behalf of Shen Zhong Kang and be fully responsible for the daily operation and management of the Jinxiu Pavilion for a period of... three years." 

Three years later, the matter will be reconsidered based on the business operation status. During the period of holding the shares on behalf of others, Ruoxin needs to report the business operation and financial situation to the liquidation team every month, and major decisions need to be filed. If the Jinxiu Pavilion can make a profit, 10% of the annual net profit will belong to Zhongkang. If the business is poorly managed and incurs new losses, then Ruoxin... will use her mother's dowry to make up for it. 

Uncle San's gaze swept over everyone, finally resting on Shen Ruoxin: "Ruoxin, are you willing to make this solemn pledge?" 

Shen Ruoxin felt a chill in her heart. A three-year period and the dowry as a guarantee. This was both an authorization and a heavy shackle. However, she had no way back! 

"Niece granddaughter, I'm willing!" She straightened her back, her voice firm. 

Shen Zhongkang stood aside, his head lowered, his expression indiscernible. Liu Shi was allowed to be present as an observer and sat in the corner, her face so sullen that it seemed as if water could drip from it. Her gaze towards Shen Ruoxin was filled with resentment and unwillingness. She never expected that after years of painstaking efforts, she would ultimately be deprived of her gains by this young girl in such a way! 

A simple shareholding agreement was quickly drafted and signed by both parties. 

When Shen Ruoxin took over that thin yet weightier-than-a-thousand-pounds agreement, she knew that from this moment on, her life's course would be completely transformed. She was no longer the second Miss Shen who only needed to live a peaceful life in the embroidery room, but rather the person steering the rise and fall, honor and disgrace of the entire family. 

Whether the road ahead is a chasm or a smooth path remains unknown. But the "proxy agreement" in her hand is the first fulcrum she uses to shift her destiny.
